Terms of Service

1. Acceptance of Terms

By accessing or using the SecondBrainCore services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you or the entity you represent ("Customer") and SecondBrainCore ("Company", "we", "us", or "our").

If you are accepting these Terms on behalf of an organization, you represent and warrant that you have authority to bind such organization to these Terms. In that case, "you" and "Customer" will refer to such organization.

2. Service Description

SecondBrainCore provides an artificial intelligence ("AI") powered knowledge management platform designed for enterprise teams. The Service enables you to capture, organize, and retrieve organizational knowledge through data source connectors, semantic search, and access via the MCP (Model Context Protocol).

The Service is currently in a Proof of Concept (PoC) phase. Some features described in product documentation may be under development or available only to selected customers. SecondBrainCore does not guarantee the continuous availability of any specific features during the PoC period.

SecondBrainCore reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable prior notice when practicable.

3. Account Registration and SSO

Access to the Service requires authentication via Single Sign-On (SSO) through Google Workspace or Microsoft Entra ID. By registering an account, you agree to provide accurate and complete information and to keep such information updated.

You are responsible for maintaining the confidentiality of your account access credentials and for all activities conducted under your account. You must notify SecondBrainCore immediately of any unauthorized use of your account at legal@secondbraincore.com.

SecondBrainCore uses Cloudflare Access Zero Trust for identity management and access control. Access to the Service may be revoked at any time by SecondBrainCore or by your organization's administrator.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Violate any applicable laws or regulations, including the Brazilian General Data Protection Law (LGPD) and the General Data Protection Regulation (GDPR);
  • Transmit data containing viruses, trojans, worms, or any malicious code;
  • Attempt to gain unauthorized access to any part of the Service or third-party systems;
  • Use the Service to store or process personal data of minors without adequate legal basis;
  • Resell, sublicense, or otherwise transfer access to the Service to unauthorized third parties;
  • Use the Service in a way that could harm, disable, overburden, or damage SecondBrainCore's infrastructure.

5. Intellectual Property

The Service and its original content, features, and underlying technology are and will remain the exclusive property of SecondBrainCore and its licensors. The Service is protected by copyright, trademark, and other laws of Brazil and other countries.

You retain all rights to the content you upload, store, or process through the Service ("Customer Content"). By using the Service, you grant SecondBrainCore a limited, non-exclusive license to process Customer Content solely for the purpose of providing the Service to you.

SecondBrainCore will not use Customer Content to train third-party AI models or for any purpose beyond the delivery of the contracted Service.

6. Payment Terms

Online payment processing is not available in the current Proof of Concept (PoC) version of the Service. Customers interested in the Team, Business, or Enterprise plans may contact us via the contact form available on our website to initiate the contracting process.

When payment processing is implemented in a future version of the Service, payment, refund, and cancellation terms will be detailed in an addendum to these Terms, with prior notice to active customers. Enterprise customers will have individually negotiated terms.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SECONDBRAINCORE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE.

SecondBrainCore's total cumulative liability to you for any claims arising from these Terms or use of the Service will not exceed the amount paid by you to SecondBrainCore in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential or incidental damages. Accordingly, some of the above limitations may not apply to you. In these cases, SecondBrainCore's liability will be limited to the maximum extent permitted by applicable law.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of Brazil, including the General Data Protection Law (Lei 13.709/2018 — LGPD), for customers whose data is processed in Brazil. For customers outside Brazil, applicable local law governs these Terms to the extent required by such law.

Disputes are subject to the jurisdiction of the courts of São Paulo, Brazil, unless otherwise provided in individual contracts with Enterprise customers.

9. Dispute Resolution

The parties agree to attempt to resolve any disputes arising from these Terms through direct good-faith negotiation for a period of thirty (30) days before resorting to legal proceedings. To initiate a negotiation, send a written notice describing the nature of the dispute to legal@secondbraincore.com.

If negotiation does not resolve the dispute, any claim or controversy arising from these Terms shall be submitted to the jurisdiction of the courts of the City of São Paulo, State of São Paulo, Brazil, to the exclusion of any other court, however privileged.

10. Changes to Terms

SecondBrainCore reserves the right to modify these Terms at any time. We will notify you of material changes by email or through a prominent notice on the Service at least thirty (30) days in advance. Your continued use of the Service after the effective date of the modifications constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must discontinue use of the Service before the effective date of the changes. The most recent version of these Terms will always be available on our website.
